After Formation: MiCA CASP Authorization

Once your Polish sp. z o.o. is fully registered, tax-identified, and has an operational bank account, the next step is MiCA CASP authorization under MiCA Regulation (EU) 2023/1114. KNF (Komisja Nadzoru Finansowego) is Poland's designated NCA for MiCA purposes, but Poland's national Crypto-Assets Market Act — the legislation KNF needs to actually issue CASP authorizations — has not yet been enacted (repeatedly vetoed, as of 2026). In practice, we prepare your full CASP application and file it with a National Competent Authority in another EU member state, then passport the resulting authorization into Poland under MiCA Article 65.

When Forming a Polish Sp. z o.o. Isn't the Right First Step
  • You need CASP authorization on the fastest possible timeline: KNF cannot currently grant CASP authorizations at all, since Poland's national Crypto-Assets Market Act has not been enacted — a Polish entity must apply via another EU member state and passport in, adding time.
  • You already hold a CASP authorization from another EU member state: MiCA passporting rights extend that authorization to all 27 member states, so a second Polish formation adds cost without adding market access.
  • You can't commit to genuine local substance: KNF requires at least one director actively managing the Polish entity and a locally appointed Compliance Officer / MLRO — a nominal director with no real Polish presence will not satisfy this.
  • Your business doesn't need CASP authorization at all: if you're issuing a utility token with no exchange, custody, or trading service attached, forming a sp. z o.o. for CASP purposes isn't necessary.

Do I need a Polish resident director?
Polish corporate law does not require directors to be Polish residents. Directors can be of any nationality, resident anywhere in the world. However, KNF requires genuine substance and effective management in Poland for VASP registration, and MiCA imposes the same standard for CASP authorization. In practice, at least one director must actively manage the Polish entity and be available to KNF. A locally appointed Compliance Officer / MLRO based in Poland is also required, whether for KNF VASP registration or for CASP authorization obtained via another EU member state and passported into Poland. How long does Polish company registration take?
